Introduction
When you use Weave products or services, you are agreeing to these Terms of Service ("Terms"). Violation of these terms may, at our discretion, result in termination of your account.
We may update these Terms of Service at any time. If we make significant changes, we will update the date at the top of this page and notify you through the application or via email.
Definitions
"Company," "we," "our," or "us"** refers to Weave and its parent company.
"Services" refers to the Weave desktop application, our website at weavegreenai.com, and any related products, features, or services created and maintained by us. This includes all features such as Chat, Images, Transcribe, Write, Create, Analyze, and Sustainability Dashboard, whether delivered within a desktop application, web browser, or another format.
"You" or "your" refers to the individual or organization that owns an account with one or more of our Services.
"User Content" refers to any content you create, upload, or process using the Services, including but not limited to: chat messages, documents, images, transcriptions, audio recordings, custom prompts, workspaces, and any other data you input into the application.
"AI Services" refers to features that utilize artificial intelligence, including but not limited to: AI chat, image generation, image alteration, document analysis, web search, and deep research.
"Local AI" refers to AI features that run entirely on your device without sending data to cloud servers.
"Cloud AI" refers to AI features that process data using third-party cloud providers such as OpenAI, Anthropic, Google, or GreenPT.
Software License
License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sub-licensable, revocable license to download, install, and use the Weave desktop application on devices that you own or control, solely for your personal or internal business purposes.
Installation Rights
1. Device limits: You may install Weave on up to three (3) personal devices that you own or control.
2. Single user: The license granted is for a single user. You may not share your account credentials or allow others to use the Services under your account without authorization.
3. No redistribution: You may not distribute, sublicense, rent, lease, or lend the application to any third party.
Software Restrictions
Except and solely to the extent such a restriction is impermissible under applicable law, you may not:
1. Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code, object code, or underlying structure of the Services
2. Reproduce, modify, translate, or create derivative works of the Services
3. Remove, alter, or obscure any proprietary notices, labels, or marks on the Services
4. Use the Services to develop or train any model, software, or service that is competitive with the Services
5. Probe, scan, or attempt to penetrate the security of the Services
6. Harvest, scrape, or extract data from the Services without permission
7. Provide to any third party the results of any benchmark tests of the Services without our prior written consent
Reservation of Rights
All rights not expressly granted to you in these Terms are reserved by the Company. There are no implied licenses under these Terms.
License Termination
Your license to use the Services terminates automatically if:
1. You violate any provision of these Terms
2. Your account is terminated or suspended
3. You cancel your subscription (for paid features only; Basic tier features remain available)
Upon termination, you must cease all use of the Services. Your locally stored User Content remains on your device and is not affected by license termination.
Account Terms
1. Account registration: You must register for an account to use certain features of the Services. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate.
2. Account security: You are responsible for maintaining the security of your account and password. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
3. Account responsibility: You are responsible for all content posted to and activity that occurs under your account, including content posted by and activity of any users you authorize to access your account.
4. Human users: Accounts registered by automated methods ("bots") are not permitted unless explicitly authorized by us in writing.
5. Age requirement: You must be at least 18 years of age to use Weave. By registering for an account, you represent that you are 18 years of age or older. If we learn that an account has been created by someone under 18, we will terminate that account immediately.
6. One account per person: Each individual may only maintain one account. Creating multiple accounts to abuse free trials, credits, or other features is prohibited.
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Prohibited Activities
1. Illegal use: Use the Services for any purpose that is illegal or prohibited by these Terms, or to promote illegal activities.
2. Harmful content: Use the Services to create, generate, distribute, or store content that:
- Is defamatory, obscene, pornographic, or sexually explicit
- Promotes violence, terrorism, or hatred against individuals or groups
- Infringes on intellectual property rights of others
- Contains malware, viruses, or other harmful code
- Is designed to deceive, defraud, or mislead others
3. AI abuse: Use the AI Services to:
- Generate content that violates our AI providers' usage policies (OpenAI, Anthropic, Google, GreenPT, etc.)
- Create deepfakes or misleading synthetic media intended to deceive
- Automate the generation of spam, misinformation, or disinformation
- Attempt to extract training data or reverse-engineer AI models
- Circumvent usage limits, rate limits, or content filters
- Generate content for use in weapons development, surveillance, or human rights violations
4. System abuse: Attempt to:
- Interfere with or disrupt the Services or servers
- Access accounts, data, or systems without authorization
- Reverse engineer, decompile, or disassemble the Services
- Circumvent any security measures or access controls
- Scrape, crawl, or collect data from the Services without permission
5. Impersonation: Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
6. Abuse of staff: Verbal, physical, written, or other abuse (including threats of abuse or retribution) of a Company employee or representative will result in immediate account termination.
Enforcement
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.
Payment, Refunds, and Plan Changes
Subscription Tiers
Weave offers the following subscription tiers:
Basic - Free: Access to local/on-device AI models, document editing, transcription, and basic features.
Eco-Pro - $20/month: Access to cloud AI models (GPT-4, Gemini), image generation, web search, deep research, and priority support.
Trial - Free (3 days): Full Eco-Pro access for 3 days; one trial per user.
Payment Terms
1. Free tier: If you are using the free Basic tier, it is genuinely free: we do not ask for your credit card or sell your data.
2. Free trial: We offer a 3-day free trial of Eco-Pro for new users. After the trial period ends, you will be automatically downgraded to the Basic tier unless you subscribe to Eco-Pro. You may only use one free trial per person; we track trial usage to prevent abuse.
Payment processing: All payments are processed by Stripe. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees. Credit card information is submitted directly to Stripe and does not touch our servers.
4. Billing cycle: Eco-Pro subscriptions are billed monthly in advance. Your billing cycle begins on the day you subscribe, and you will be charged on the same date each month.
5. Taxes: All fees are exclusive of applicable taxes, levies, or duties. Where required by law, we will collect and remit taxes on your behalf. Otherwise, you are responsible for payment of all applicable taxes.
6. Failed payments: If a payment fails, your account status will be set to "past due." We will attempt to charge your payment method again. If payment continues to fail, your account may be downgraded to the Basic tier.
Refunds
1. General policy: We do not offer refunds for partial subscription periods. If you cancel your subscription, you will continue to have access to Eco-Pro features until the end of your current billing period.
2. Exceptional circumstances: We may, at our sole discretion, offer refunds in exceptional circumstances. Please contact us at support@weavegreenai.com to discuss your situation.
3. Credit purchases: Purchased credits are non-refundable except where required by law.
Plan Changes
1. Upgrades: If you upgrade from Basic to Eco-Pro, we will charge your payment method immediately and your billing cycle begins on the day of upgrade.
2. Downgrades: If you cancel Eco-Pro, your access continues until the end of your current billing period, after which you will be downgraded to Basic.
Subscription Auto-Renewal and Cancellation
Auto-Renewal Disclosure
IMPORTANT: Your Eco-Pro subscription will automatically renew each month until you cancel.
By subscribing to Eco-Pro:
1. You authorize us to charge your payment method $20.00 (plus applicable taxes) each month on your billing date.
2. Your subscription will continue to automatically renew until you cancel.
3. You may cancel at any time through the Stripe Customer Portal, accessible from your account settings.
How to Cancel
You can cancel your subscription at any time by:
1. Opening Weave and navigating to Settings > Account.
2. Clicking Manage Subscription to access the Stripe Customer Portal.
3. Following the instructions to cancel your subscription.

Effect of Cancellation
1. Immediate effect: Your cancellation takes effect immediately, but you retain access to Eco-Pro features until the end of your current billing period.
2. No automatic refunds: We do not automatically prorate or refund unused time in your billing period.
3. Downgrade to Basic: After your billing period ends, your account will be downgraded to Basic. You will retain access to all local/on-device features.
4. Data retention: Your user content remains on your device. Any content synced to our servers remains accessible, but cloud AI features will no longer be available.
Annual Reminders
For subscriptions that have been active for 12 months or more, we may send you an annual reminder of your subscription status, including the renewal date and instructions for cancellation.
Price Changes
If we change subscription pricing, we will provide at least 30 days' notice via email to the address associated with your account. Continued use of paid Services after a price change takes effect constitutes your agreement to pay the new price.
Credits and Usage
Monthly Credit Allowance
Eco-Pro subscribers receive a monthly allowance of credits ($12 value) that can be used for cloud AI features. These credits:
1. Reset at the beginning of each billing period
2. Do not roll over to the next month
3. Are applied before any purchased credits
Credit Purchases
1. Additional credits: You may purchase additional credit packs at any time.
2. No expiration: Purchased credits do not expire and carry over between billing periods.
3. Non-refundable: Purchased credits are non-refundable except where required by law.
4. Usage order: Monthly credits are used before purchased credits.
Usage Tracking
We track your usage of cloud AI features for billing purposes. This includes:
- Token counts for AI chat
- Number of images generated or altered
- Web search operations performed using cloud.
You can view your usage in the application.
AI Services
Model Training
WE WILL NOT USE YOUR USER CONTENT TO TRAIN AI MODELS.
Your User Content—including chat messages, documents, prompts, and any other inputs—will not be used by us to train, improve, or develop any AI models. Third-party AI providers (such as OpenAI, Anthropic, Google, and GreenPT) have their own data usage policies; please review their terms if you have concerns about how your cloud AI interactions are handled.
Nature of AI Services
Weave provides access to artificial intelligence services through both local (on-device) and cloud-based providers. You acknowledge and agree that:
1. AI limitations: AI systems, including those used by Weave, are not infallible. AI-generated content may contain errors, inaccuracies, biases, or inappropriate material. You are solely responsible for reviewing and verifying any AI-generated content before use.
2. No guarantees: We do not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content for any particular purpose.
3. Your responsibility: You are solely responsible for how you use AI-generated content. Any decisions made or actions taken based on AI-generated content are your own responsibility.
Local AI
1. On-device processing: Local AI features run entirely on your device. Your data is not sent to external servers for processing.
2. Hardware requirements: Local AI requires compatible hardware, for example, a device with Apple Silicon (M1, M2, M3, M4, or later) with adequate memory (minimum 8GB RAM recommended; 16GB or more recommended for larger models). Performance varies based on your device specifications, available memory, and model size. We make no guarantees regarding Local AI availability, performance, or compatibility on your specific hardware configuration.
3. Model downloads: Local AI features require downloading AI models to your device. These downloads may be large (several gigabytes) and require sufficient storage space. Models are downloaded from third-party sources (such as Hugging Face) and are subject to their own licenses.
4. Model accuracy: Local models may be less capable than cloud models. Results may vary. We make no warranties regarding the accuracy, quality, or suitability of locally-run AI models.
Cloud AI Services
1. Third-party providers: Cloud AI features are powered by third-party providers including OpenAI, Anthropic, Google, and GreenPT. Your use of cloud AI features is subject to those providers' terms and policies.
2. Data transmission: When you use cloud AI features, your prompts and messages are transmitted to third-party AI providers for processing. We recommend not including sensitive personal information in AI prompts.
3. Provider policies: You agree to comply with the acceptable use policies of our AI providers:

4. Content retention by providers: Third-party AI providers may retain and use your inputs and outputs according to their own policies. Please review their privacy policies for details.
AI-Generated Content Ownership
1. Your content: Subject to these Terms and any applicable third-party terms, you retain ownership of any content you create using AI features.
2. Our content: We retain ownership of the Services, including all underlying technology and intellectual property.
3. Third-party rights: AI-generated content may inadvertently resemble existing copyrighted works. You are responsible for ensuring your use of AI-generated content does not infringe on third-party rights.
4. No warranties: We make no representations or warranties regarding the intellectual property status of AI-generated content.
Automatic Updates
1. Update checks: The Services may automatically check for available updates. By using the Services, you consent to these automatic update checks.
2. Automatic downloads: Updates may be automatically downloaded and installed to ensure you have the latest features, security patches, and bug fixes. You may configure update preferences in the application settings where available.
3. Version deprecation: We may deprecate older versions of the Services and require you to update to continue using certain features or accessing cloud services. We will endeavor to provide reasonable notice before deprecating a version.
4. AI model updates: Local AI models may be updated or replaced. New models may have different capabilities, requirements, or behaviors than previous versions.
User Content and Intellectual Property
Your Content
1. Ownership: You retain ownership of all User Content you create, upload, or process using the Services.
2. License grant: By using the Services, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely as necessary to provide the Services to you. This license terminates when you delete your content or account.
3. Local storage: Most User Content (chats, documents, images, transcriptions, audio recordings) is stored locally on your device. This content is not uploaded to our servers unless you explicitly use sync features.
4. Synced content: Content you choose to sync may be stored on our servers. We do not access, use, or share your synced content except as necessary to provide the Services.
5. Your responsibility: You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not violate the rights of any third party
- Your User Content complies with these Terms and all applicable laws
Our Intellectual Property
1. Ownership: The Company owns all right, title, and interest in and to the Services, including all intellectual property rights. This includes the application, website, code, design, logos, trademarks, and documentation.
2. Restrictions: You may not:
- Copy, modify, or distribute the Services or any part thereof
- Reverse engineer, decompile, or disassemble the Services
- Remove or alter any proprietary notices or labels
- Use our trademarks or branding without written permission
- Create derivative works based on the Services
3. Feedback: If you provide feedback, suggestions, or ideas about the Services, we may use them without any obligation to you.
Copyright Infringement
We respect intellectual property rights. If you believe content on our Services infringes your copyright, please contact us at support@weavegreenai.com with:
- A description of the copyrighted work
- The location of the infringing content
- Your contact information
- A statement of good faith belief that the use is unauthorized
- A statement under penalty of perjury that your notice is accurate

The Services integrate with various third-party services, including:

GreenPT: Eco-friendly AI chat
Supabase: Authentication, database, sync
Stripe: Payment processing
Tavily: Web search
PostHog: Analytics

Third-Party Terms
1. Separate agreements: Your use of third-party services is governed by those services' own terms and privacy policies. We encourage you to review them.
2. No liability: We are not responsible for the actions, content, or policies of third-party services. We do not control and are not liable for any damages arising from your use of third-party services.
3. Service availability: Third-party services may experience outages, changes, or discontinuation that affects the availability of certain Weave features. We are not liable for interruptions caused by third-party services.
External Links
The Services may contain links to third-party websites. We do not control and are not responsible for the content or practices of those websites.
External AI Providers (LM Studio, Ollama)
Weave allows you to connect to external AI servers running on your local network (such as LM Studio or Ollama). Your use of these external providers is:
1. Your responsibility: We do not control external AI providers.
2. Not covered by these Terms: Any data you send to external providers is not processed by us.
3. At your own risk: We make no warranties about external providers.
Open Source Software
The Services include open source software components licensed under various open source licenses, including but not limited to:
- FFmpeg — Licensed under the GNU Lesser General Public License (LGPL)
- Electron — Licensed under the MIT License
- MLX — Licensed under the MIT License
- Various npm packages and Python libraries under MIT, Apache 2.0, BSD, and other open source licenses
A complete list of third-party components and their respective licenses is included with the application in the "ThirdPartyLicenses" folder and is also available upon request. Your use of these open source components is subject to their respective license terms.
Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.
Modifications to the Service and Prices
Service Changes
1. Right to modify: We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
2. Legacy support: We endeavor to maintain support for existing features. However, we may need to discontinue features that are technically infeasible, insecure, or no longer practical to maintain.
3. No liability: We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
Price Changes
1. Right to change prices: We may change subscription pricing at any time.
2. Notice: We will provide at least 30 days' notice of price changes via email to the address associated with your account.
Uptime, Security, and Privacy
Service Availability
1. "As is" basis: The Services are provided on an "as is" and "as available" basis. We do not guarantee that the Services will be uninterrupted, secure, or error-free.
2. No SLA: We do not offer formal service-level agreements, but we take uptime seriously and strive to maintain high availability.
3. Maintenance: We may need to perform maintenance that temporarily affects availability. We will try to schedule maintenance during low-usage periods and provide advance notice when possible.
Security
1. Our commitment: We take many measures to protect and secure your data through encryption, backups, and redundancies. All data is encrypted in transit via SSL/TLS.
2. Your responsibility: You are responsible for maintaining the security of your account credentials and your device.
3. Reporting vulnerabilities: If you discover a security vulnerability, please report it to support@weavegreenai.com
Privacy
1. Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy: https://www.weavegreenai.com/legal/privacy-policy.
2. Local data: Most of your User Content is stored locally on your device and is not accessible to us.
3. CCPA: Under the California Consumer Privacy Act ("CCPA"), we act as a "service provider" with respect to your use of the Services. We process data only for the purposes you signed up for and as described in these Terms and our Privacy Policy.
4. GDPR: For users in the European Union or United Kingdom, our data processing practices comply with the General Data Protection Regulation ("GDPR") and UK GDPR.
Liability
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will meet your requirements
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from the Services will be accurate or reliable
- Any errors will be corrected
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
1. Your access to or use of or inability to access or use the Services
2. Any conduct or content of any third party on the Services
3. Any content obtained from the Services
4. Unauthorized access, use, or alteration of your transmissions or content
5. AI-generated content, including any errors, inaccuracies, or inappropriate material
6. Third-party services, including AI providers, payment processors, or other integrations
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
1. The amount you paid us in the 12 months preceding the claim, or
2. $100.00
These limitations apply regardless of the legal theory upon which your claim is based, including contract, tort, negligence, strict liability, or any other theory.
Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
1. Your access to or use of the Services
2. Your violation of these Terms
3. Your violation of any third-party rights, including intellectual property rights
4. Your User Content
5. Your use of AI-generated content
Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@weavegreenai.com. We will try to resolve the dispute informally within 30 days.
Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
1. Agreement to arbitrate: You and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except that either party may bring a claim in small claims court if it qualifies.
2. Class action waiver: You and the Company agree that any arbitration shall be conducted on an individual basis and not as a class, collective, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and the Company each waive any right to a jury trial.
3. Arbitration rules: The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
4. Opt-out: You may opt out of this arbitration agreement by sending written notice to support@weavegreenai.com within 30 days of first accepting these Terms. If you opt out, you may pursue claims in court.
Venue
If you opt out of arbitration or if a claim is brought in court, any legal action shall be brought in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Services.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
Force Majeure
We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet failures.
Notices
We may send notices to you via email to the address associated with your account or through the application. You may send notices to us at support@weavegreenai.com.
Survival
Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Export Compliance
The Services may be subject to U.S. export control laws. You agree to comply with all applicable export and re-export control laws and regulations.
Government Users
If you are a U.S. government entity, the Services are provided as "Commercial Items" as defined in 48 C.F.R. §2.101.
